NCLT stays disposal of Byju's K3-linked assets auctioned for Rs 16 Cr

The National Company Law Tribunal (NCLT) has ordered a temporary halt on the sale of assets linked to Byju's K3 Education, which were auctioned for a mere Rs 16 crore instead of the estimated Rs 150 crore. In Bengaluru, the NCLT bench has placed a hold on any further disposal of the assets until their next hearing on September 21, amid accusations that the assets were sold off for a fraction of their worth.

The resolution professional (RP) of Think and Learn Private Limited, the parent entity of Byju's, and the newly added Respondent have been instructed to maintain status quo regarding the auctioned articles, equipment, and assets under a notice issued on August 2, 2026, until the next hearing. The NCLT directed both parties to keep the auctioned items in their possession and provide supporting photographs and a sworn inventory of the assets purchased by the bidder, Comprint Tech Solutions.

The RP of TLPL and Kritikal Solutions had contested the auction, claiming that the auctioned items were not verified for ownership and the winning bidder, Comprint Tech Solutions, had its registered office in an under-construction building that they could not find. Additionally, at least 15 vehicles loaded with the assets were already dispatched to Mumbai before the NCLT's order.

The tribunal noted that the current status of the auctioned assets was unclear and held that a temporary stay on any further alienation was necessary. The NCLT emphasized that the current situation would not irreversibly harm anyone, including the successful bidder, and that the status quo would remain in place until concrete evidence emerged. The RP of TLPL and the bidder were ordered to comply with the NCLT's directives within a week.
