Magnum y Artá crean un gigante de 150 millones en mantenimiento de aeronaves

Magnum Capital and Artá Capital have reached an agreement to merge their aviation maintenance businesses with the aim of creating the largest independent group in Spain specializing in this sector. The newly formed company, whose name has yet to be determined, will incorporate the maintenance services of Aeronáutica de Gestión (AG), acquired by Magnum in early January, and Aviaction, part of the portfolio of companies managed by Artá Capital since late last year.

The combined enterprise is projected to generate annual revenues exceeding 50 million euros, with an EBITDA range of 15 million euros, according to market sources. Magnum and Artá are expected to hold equal stakes in the merged entity, controlling approximately 90% of the company. Josué Capilla, AG's founder and executive president, will hold a 10% stake in the new group, while Juan Antonio Carrasco, CEO of Aviaction, will serve as the company's chief executive officer.

The deal has just been submitted to the CNMC, Spain's competition authority, with a closure expected in the coming months. The primary objective of the merger between AG and Aviaction is to enhance their capabilities and accelerate the group's international expansion, currently competing in Spain with Boost Air, a company backed by Hyperion and formed through the consolidation of Gestair, leader in private jet management, Brok-Air, and ATS Aviation.

The combined team of Magnum and Artá, which will employ over 500 people, will focus on aircraft cabin design and maintenance, component repair, in-service servicing, and technical cleaning for both commercial and business aviation. Legal counsel for the transaction included A&O Shearman, Andersen, Eversheds Sutherland, and Herbert Smith Freehills.
