Tata Sons board may meet Sept 17; Chandrasekaran’s exit, fresh AGM date likely to come up

The board of Tata Sons Ltd is expected to convene on September 17 to discuss Chairman N Chandrasekaran's potential resignation and to determine a date for the annual general meeting (AGM), which was postponed on August 18. Tata Trusts Chairman Noel Tata and trustee Venu Srinivasan, a member of the Tata Sons board, are also involved.

The AGM's rescheduling is contingent upon the Sir Ratan Tata Trust (SRTT) resolving a restraining order issued by the Maharashtra Charity Commissioner in May, which prevented Tata Sons from meeting the shareholder representation requirement to convene the meeting. Tata Sons' AGM was adjourned on August 18 due to a lack of quorum, as the regulatory freeze on SRTT prevented Tata Sons from obtaining the necessary shareholder backing to hold the meeting.

This situation has left the future of Chandrasekaran's directorship and his potential successor uncertain. Chandrasekaran's five-year tenure as chairman is set to conclude on February 20, 2027, and he was scheduled for reappointment as a director at the August 18 AGM, which is crucial for his continued role as chairman. The AGM will need to address and approve Chandrasekaran's reappointment as a director, as per Tata Sons' Articles of Association, which require at least five members, including an authorized representative jointly nominated by the Sir Dorabji Tata Trust and the SRTT, to form a quorum.

The Maharashtra Charity Commissioner's order in May has hindered the trust's ability to conduct board proceedings, creating a procedural obstacle for Tata Sons to meet the quorum requirements for its AGM.
