Why N Chandrasekaran is stepping down as Tata Sons chairman: Full statement

NEW DELHI - Tata Sons chairman N Chandrasekaran disclosed on Wednesday that he will not continue in the role beyond February 20, 2027, as his current term is set to conclude. In a statement, Chandrasekaran explained his decision was due to the ongoing struggle to reach an agreement on extending his tenure beyond the end of his present tenure.

Chandrasekaran joined the Tata Group in 1987 and became CEO of TCS in 2009, before assuming the position of Tata Sons chairman in 2017. He expressed gratitude for serving the group for 40 years of professional life, stating that leading Tata Sons over the past decade had been both an honor and a significant responsibility.

The chairman's current tenure ends on February 20, 2027. In 2026, the Sir Dorabji Tata Trust and Sir Ratan Tata Trust unanimously resolved and recommended extending his next term for a period of five years. The proposal was recorded, recommended by the Tata Sons Nomination and Remuneration Committee, and the Board. Nonetheless, the resolution was not approved as one of the Board Members did not back it, and without unanimous support, Chandrasekaran chose to postpone the decision.

Six months have passed since that Board meeting, and no resolution has been reached yet. Being a large institution with numerous strategic projects in critical stages of execution, Chandrasekaran emphasized that both leadership continuity and clarity are essential for employees, investors, partners, and other stakeholders.

Consequently, Chandrasekaran communicated to the Tata Sons Board earlier today that he has decided not to seek reappointment upon the expiry of his term on February 20, 2027. He asked the Board to decide on succession promptly to ensure a smooth transition. Chandrasekaran expressed his gratitude for the support of all stakeholders.
