The private equity firm is collaborating with investment bank William Blair on this potential transaction, which has garnered interest from both financial backers and strategic purchasers.

Foundation Software, headquartered in Strongsville, Ohio, specializes in delivering software solutions for accounting, payroll, project management, and field operations to construction contractors, with a strong emphasis on small and mid-sized specialty contractors. The company's annual revenue tops $200 million, with earnings before interest, taxes, depreciation, and amortization (EBITDA) reaching over $100 million, as per the sources.

Established in 1985, Foundation Software has been a strategic growth investment for Thoma Bravo since 2020, when the firm made its initial commitment to the company.
