Prisma coloca Origem Energia à venda

Prisma Capital is moving forward with plans to sell Origem Energia, a junior oil company that has become one of the largest independent gas producers in the country over the past few years. The asset managers of Marcelo Hallack, João Mendes and Lucas Canhoto joined the company late in 2020. Origin was founded a decade ago by petroleum engineer Luna Viana.

The move is seen as natural for Prisma after six years, with the decision for a M&A occurring due to the market still closed for IPOs, sources told Brazil Journal. Prisma invested in Origin when it was still called Petro+ and had only a few exploration fields. After merging with Eagle, another oil and gas vehicle in its portfolio, Origin grew by acquiring deforested operational fields operated by Petrobras: the Alagoas and Tucano Sul poles.

Between 2022 and 2026, production in Origin's onshore fields skyrocketed from 4,000 to nearly 20,000 barrels of oil equivalent per day, positioning it among the largest national junior oils behind PRIO, Brava, and PetroRecôncavo. The company also placed bids for more than 300 megawatts of gas-fired power plants in the energy capacity auction promoted by the Government in June.

It is unclear when the sale process of Origin will be completed, nor who are the interested parties evaluating the asset. Eneva, considered one of the natural candidates for the business, signaled no interest, and Petrobras - which has said it has returned to be a buyer of assets - also will not evaluate the transaction because offshore assets are not in its scope, sources said.

In a recent report, the Bradesco BBI team cited PetroRecôncavo (controlled by Opportunity, PetroSantander, and Perbras) as another company for which acquisition could make strategic sense. For a seasoned market source, Origin could still attract domestic independent operators with onshore operations, such as Mandacaru Energia.
