The Securities and Exchange Commission of Pakistan (SECP) has instructed companies with fiscal years concluding on June 30, 2026, to conduct their Annual General Meetings (AGM) no later than October 28, 2026, and submit their Annual Returns (AR) along with Ultimate Beneficial Ownership (UBO) filings. According to the regulator, companies must hold their AGMs within 120 days of their financial year's end, as announced on Tuesday.

Following the AGM, firms must file Form A when there are changes to their particulars, while Form 24 is required for unchanged particulars since the last AR, the SECP informed. Contrary to general practice, single-member companies and private entities with paid-up capital of less than Rs3 million are exempt from filing an AR if there are no changes in the information from their last return.

In addition to filing ARs, companies must also fulfill their UBO obligations, which include issuing notices, collecting declarations and updates, maintaining a UBO Register, and submitting Form-19 to the registrar alongside the AR. In cases where an AR is not required, Form-19 must be filed within 30 days following the conclusion of the calendar year.

The SECP further urged companies to meticulously review their records and prepare the necessary filings ahead of time to ensure timely compliance and maintain accurate corporate information.
