Magic Empire Global prices $3M registered direct offering

Magic Empire Global Limited, a Hong Kong-based financial services provider, has announced the pricing of a registered direct offering. The company will issue 2,678,572 units at $1.12 per unit, including one Class A ordinary share and one warrant. The warrants, which expire one year after issuance, can be exercised for up to nine shares cashlessly.

Magic Empire Global expects to receive $3 million in gross proceeds from the offering, excluding any amounts from warrant exercises. The proceeds will be used for working capital and general corporate purposes. Chaince Securities, LLC is handling the placement agent role for this offering. The securities are offered under a previously filed Form F-3 registration statement with the U.S. Securities and Exchange Commission.
