Tempus AI (TEM) Jumped on Moderna’s Melanoma Win. Did its $1.5B Personalis Acquisition Just Get Validated?

Tempus AI (TEM) shares surged following Moderna and Merck's announcement of a Phase 3 melanoma trial result. The trial demonstrated the effectiveness of intismeran autogene, or V940, combined with Keytruda, in reducing recurrence rates. Personalis, a company that has long supported the V940 clinical development, is being acquired by Tempus for $1.5 billion.

The question now is whether this Phase 3 success validates the acquisition or merely confirms the strategic relevance of Personalis' ImmunoID NeXT technology in personalized cancer therapy. ImmunoID NeXT is a tumor sequencing platform used to develop personalized vaccines, distinct from NeXT Personal, a tumor-informed MRD test. The acquisition of Personalis validates ImmunoID NeXT's sequencing capabilities but does not address the economics of NeXT Personal.

Tempus AI has commercialized NeXT Personal since 2023, with 9,000 MRD tests conducted in the second quarter, up from 6,500 the previous quarter. Personalis reported a net loss of $31.683 million in Q2, with revenue at $22.357 million. The acquisition's success hinges on MRD adoption, reimbursement, and biopharma demand to justify the dilution and financing burden.
