Los accionistas de Hotei tienen hasta el 16 de septiembre para aceptar la opa de Sancus

Accionistas of hotelier firm Hotei Properties are given until September 16 to accept a buyout offer from Sancus for 371 million euros. The investor group led by Borja Escalada reached an agreement in June with US fund Castlelake and other shareholders to acquire a 53.5% stake in Socimi for around 198 million euros. Hotei confirmed via a press release to BME Growth, where it is listed, that the acceptance deadline is from today to September 16, including both dates.

The 100% buyout would involve a total outlay of 371 million euros. Besides Castlelake, other shareholders include Arconas International (8.03%) and Mutualidad General de Previsión de la Abogacía (5.05%). The offer is contingent on the sale of Madrid hotel Nomade, which Socimi agreed to sell for 105 million euros to GS Bacares Iberia, majority-owned by Nomade Partners.

The deal extends the deadline for public sale of the Nomade hotel to September 4, 2026, and also extends the amount of publicly assured payment to 7.5 million euros. If the Nomade sale does not close due to the buyer's fault, Hotei retains the 7.5 million euros as compensation, while Socimi would pay if Hotei is at fault.
